Steven R. Fischer, of Counsel

Steven R. Fischer is a business lawyer with a broad background in corporate, banking, securities, tax, pension, labor, antitrust and complex litigation. He has served as legal counsel in ESOP transactions ranging in size from a few hundred thousand dollars to several hundred million dollars.


Steve has acted as counsel for scores of qualified and non-qualified incentive stock option plans, executive compensation programs, buy-sell agreements and combined stock purchase and pension plans over the past 25 years.

 

In 1989, he designed and implemented one of the first ESOP transactions involving a plan-to-plan transfer of funds from an existing qualified plan to an ESOP. Steve has also represented numerous institutional fiduciaries, lenders and investment bankers in connection with leveraged ESOP transactions, and represented lenders and borrowers in the establishment and financing of worker and consumer cooperatives. He has extensive experience in ERISA litigation arising out of employer securities in 401(k) plans and ESOPs.

 

Steve was among the first members of the National Center for Employee Ownership, is a longtime member of The ESOP Association, and a frequent author and speaker on ESOPs, stock option plans and internal capital markets.  He serves on The ESOP Association's Interdisciplinary Advisory Committee on Fiduciary Issues.

 

Steve is a 1976 graduate of Columbia University’s School of Law, and is a magna cum laude graduate of Temple University. He is admitted to practice in Pennsylvania.
