ESOP Trustees At Steiker, Fischer, Edwards & Greenapple we understand the responsibilities of an ESOP fiduciary, whether discretionary or directed. Whether the ESOP has an institutional trustee or a trustee from within the company, we work directly with our clients to explain fiduciary duties and to advise on ERISA compliance.

We represent trustees in both initial transactions and during periods of corporate re-structuring. To maximize the benefits of the ESOP to the company and its employees, we’ll

work with you to:

  • Examine all transaction documents for compliance with applicable law
  • Review the company’s appraisal for compliance with adequate consideration and relative fairness requirements
  • Assure that the company’s ESOP recordkeeping is accurate
  • Explain and review the participant pass-through direction process
  • Reviews in connection with the engagement of successor trustee
